化解公司僵局之路径选择

【摘要】The company deadlock is the product of combining the essential characteristic of the close company and the system arrangement of Company Law.The company deadlock makes it difficult for company to work normally as usual.Meanwhile,it also damages the interests of shareholders.Therefore,exploring the solution to resolve the company deadlock has become a real subject of the Company Law.From the relationship between the close company and company deadlock,this paper explores why the company deadlock happens and tries to seek a scientific solution to resolve the company deadlock on the legal basis.%公司僵局是公司尤其是封闭型公司本质特性与公司法上的制度安排结合作用的产物。公司僵局的产生使得公司无法正常运作,股东利益受损,因此,探求化解公司僵局之路径成为公司法的现实课题。本文从封闭公司与公司僵局的关系入手,进一步探究公司僵局缘由。从化解公司僵局的法理基础出发,寻求化解公司僵局之合理路径。
