二、前期准备

每一个交易有不同的交易背景和交易目的，当事人情况也各不相同，法律法规也可能处在变化中，这就要求根据实际情况起草与审查合同，合同范本并不能保障每个交易顺利完成，因此，合同起草与/或审查者应当向当事人了解如下内容，作为起草或者审查合同的重要、根本依据：

1、合同用途、交易目标及要求。用于内部讨论、谈判还是最终签署。交易将要到达什么商业目标。哪些是当事人关注的重点。哪些可以让步哪些不能让步。

2、商务背景。当事人的数量、相互关系、法律地位、签约能力。以前是否有过交易、是否发生过纠纷、与本次交易的关系。本次交易是否签署过相关文件、交易哪方处于优势地位、本次交易对当事人重要程度。

3、交易结构。各方在合同中的地位，与交易有关的国际惯例、行业惯例、司法倾向(习惯)、司法判例、当地政策。当事人谈判进展情况。交易模式是否有其他选择。

三、合同整体审查

1、合同主体的合法性。主体资格、经营范围与经营方式、业务主管部门的行政许可等。

2、合同内容的合法性。行为的合法性、表述的合法性(合规范性)。

3、合同的可操作性。

4、当事人对合同执行的可控制性。

四、合同具体条款的起草与审查

在签订合同之前，要审查签约伙伴是否具备订立合同的主体资格，是一项很重要的工作，但是在签订合同的时候这个问题往往被人们忽视，这主要表现在以下几个方面：

(1)在签订合同时，不注意审查当事人的营业执照。当事人一方是否具备签订合同的主体资格，当事人的营业执照是否过期，是否做年审，是否被吊销等，不认真进行审查就匆忙与其签合同，容易造成所签合同没有法律效力或者在发生纠纷时难以追求当事人责任。

(2)不注意审查当事人一方生产或经营能力和行为能力，造成所签合同的内容不符合法律或行政法规的规定。例如部分产品的生产、经营须特别许可或者经过国家有关部门批准，才具备生产、经营资格，否则会因不具备这一能力而导致合同无效。

(3)不注意审查法定代表人的资格。例如不注意把对方所提交的法人代表资格证和营业执照互相对照，不搞清楚该法人代表是否在人或者法人公章是否真实等情况就签订合同。

(4)不注意审查委托代理人的资格、权限。如委托代理人所持的授权委托书是否真实，所授权限与合同规定的权限是否一直，代理权是否已过期或被取消等问题。

(1)主体资格审查

在签订买卖合同前，要认真审查合同主体是否合格。如要查验单位的营业执照，要注意营业执照是否伪造或是偷窃所得，是否由工商行政管理部门核发，是否具备生产、经营的行为能力和权利能力。

(2)信誉审查

在实践中，合同的主体合格并不意味着他们签订的买卖合同之后就一定能真的完全按合同约定履行义务。为了减少发生不必要的损失，在签订买卖合同之前，必须调查对方当事人的商业信誉。

(3)履约能力审查

无论是与公民签订买卖合同，还是与法人签订买卖合同，都要调查对方的履约能力。否则偏听一面之词，很容易上当受骗。

对于公民(包括个体工商户、农村承包经营户)而言，可以通过他所作单位以及其亲戚、邻居、同学、朋友等熟人调查此人的履约能力。

对于法人而言，可以通过当地工商行政管理部门、上级主管部门等多种途径了解其是否具有履约能力。

(4)合同承办人的资格审查

对合同承办人的资格审查，主要包括对法定代表人的审查，对法人工作人员的审查和对委托代理人的资格审查。根据国家法律规定，代理签订买卖合同的委托代理人必须具备必须具备三个条件，所以对委托代理人要进行三方面的审查：审查其委托证明、代理权限和签约时是否以委托人的名义进行。
