跨国并购中的文化风险分析
—以海尔并购案为例
摘要
20世纪90年代以来,世界经济的发展在科技进步和信息全球化的推动下已明显呈现出全球一体化趋势,跨国并购成为了当代企业国际扩展的重要形式,也是近年来国际直接投资流动的最主要形式之一。有效整合并购企业双方的跨文化差异是实现成功的跨国并购的关键所在。传统研究对并购中文化整合的分析往往侧重于企业层面。但是,随着中国企业不断融入全球经济一体化的进程,许多企业层面文化冲突的分析在跨国界的情况下已经不能适用。因此,立足于跨越国界的视角,对中国企业跨国并购中的文化差异整合策略进行探讨就显得十分重要。 由于中国企业的跨国并购还处于起步阶段,跨国并购整合与管理的实践经验非常贫乏,中国企业的跨国并购整合势必面临着文化差异的严峻挑战。并且,国内关于跨国并购整合的研究才刚起步,理论的研究大大落后于实践的发展。本文以海尔并购案为例,采用大量数据分析与比较分析,寻找跨国并购中文化风险产生的原因及方式,研究其成功的文化整合模式,希望能找到对中国企业跨国并购解决文化风险的方法和路径

ABSTRACT
Since the 1990s, in the context of economic globalization and the rapid development of science and technology,transnational mergers and acquisitions(cross—border M&A)have become an important mode and shortcut for the enterprises to speed up their international process and participate in global competitions. and in recent years, one of the most main form is international direct investment flows Effective integration of cross-cultural differences in both the M&A business is the key to achieving successful cross-border mergers and acquisitions. Traditional research on the analysis of the M&A cultural integration tend to focus on the corporate level . However, as Chinese companies continue to integrate into the process of global economic integration, many enterprise-level cultural conflict analysis in the case of cross-border can not be applied. Therefore, based on the cross-border perspective, it is very important to explore cultural differences in cross-border mergers and acquisitions in Chinese enterprises integration strategy.
As the transnational M&A of Chinese enterprises is in the initial stage,we also lack of the experience of M&A integration and management,Chinese enterprise are facing severe challenges of cultural differences.Moreover,Domestic researches on This topic fall behind the practice.For example in Haier merger, using a large number of data analysis and comparative analysis, to find the cause and manner of cross-border mergers and acquisitions in the culture of risk, study its successful cultural integration model, come to the cross-border mergers and acquisitions of Chinese enterprises to solve the revelation of the culture of risk
