中小企业治理与技术创新*

——基于中小企业板的实证研究

摘要：深圳交易所中小企业板的目的之一是推动我国中小企业尤其是成长性好的科技型中小企业的发展，这类中小企业核心竞争力基础就是企业技术创新能力，企业研发的投入强度将对企业技术创新能力产生影响。中小企业治理因素将影响企业的研发及技术创新活动，本文以中小企业板的上市公司为样本对中小企业中大股东治理、管理层治理和债权人治理三个治理机制与技术创新的关系进行了实证分析与解释，我们发现，大股东治理和管理层治理机制中的部分治理因素对企业技术创新发挥了相对积极的影响，债权人治理的作用尚不确定。我们还基此对我国中小企业板的发展提出了相应的建议。

Small and Medium-Sized Enterprise Governance and Technology Innovation:

An Empirical Research on the SMEs Market

Abstract：One of the purposes of the SME Market of Shenzhen Exchange is to promote the development of SMEs specially the technology SMEs with good growth potential, as we know the base of the core petence for these SMEs is the technology innovation capabilities, and the intensity of investment on R&D have impact on the technology innovation capabilities of SMEs. Furthermore, the small and medium-sized enterprise governance will influence the R&D and technology innovation, based on sample from the panies of the SME Market, we make empirical research and explanation on the relation of technology innovation and the three enterprise governance mechanisms including large shareholder governance, top management governance, creditor governance, we find that some governance variables of the large shareholder governance and top management governance mechanism play a positive function on the enterprise technology innovation，and the role of creditor governance is uncertain. We also provide some suggestion on the future development of SME Market.。
